On Monday morning, one piece of news sent two stocks in opposite directions.
PTC rose more than 34% in New York premarket trading. Schneider Electric, the buyer, fell about 8% in Paris.
The target won and the acquirer lost. That pattern is common in mergers. This time the gap came less from the price itself than from how the price was justified.
What Schneider Is Buying
PTC makes the software engineers use to design products. Creo handles design, Windchill manages a product's parts lists and versions, and Onshape runs design in the cloud. It has more than 30,000 customers.
PTC's 2025 revenue was €2.4 billion, with an adjusted EBITA margin of about 40%. Schneider expects PTC's revenue to grow roughly 10% a year through 2029.
Schneider knows this field. In 2023 it bought out the rest of industrial software maker AVEVA. In June 2026 it struck a $3.1 billion deal for data platform Cognite.
PTC fills the missing link. A product's design, its operation on the factory floor and the energy it consumes would all sit in one company's software.

CEO Olivier Blum put the goal in one sentence: "Together, we are creating the industry's most complete Software & AI powerhouse."
After the deal, software and services will make up 24% of group revenue.
The Market Did Not Read This as Strategy
It read it as a balance sheet.
Schneider will pay mostly with debt: €16-17 billion of new borrowing and €5-6 billion of new shares. The share sale will run as an accelerated bookbuild.
Buybacks are slowing too. Schneider will buy back €600 million of stock in 2026, then pause in 2027-2028 before accelerating again. The target through 2030 is €2.5-3.5 billion.
For existing holders, the picture is this. New shares dilute their stake, and buyback support stops for two years. More: What Is a Share Buyback?
The Gap Between Two Multiples
Schneider defended the price with two multiples. Excluding synergies, the deal values PTC at 21 times its estimated 2027 adjusted EBITA. With full synergies, it is 13 times.
The company's own figures show what closes the gap.
This is a rough approximation; Schneider did not disclose how synergies convert to profit. The direction holds.
Cost savings are in the buyer's control. Revenue synergies depend on customers buying one more product.
About 60% of the expected synergy profit rests on that second line. More: How Does Valuation Work?
Two Stocks, One Morning
Schneider closed Friday at €303. By 8:17 a.m. Paris time on Monday it was around €279.
Schneider Electric Share Price
On the PTC side, the telling part is not the jump but where it stopped. A 34% gain takes the stock to roughly $193.
The offer is $205. The gap of about 6% is the price of two things. One is the risk that the deal breaks before its expected close in the third quarter of 2027. The other is the cost of waiting.
PTC's six-month chart shows the base the offer landed on; the chart counts back from today.
The Nasdaq 100 over the same period offers a point of comparison.
What Remains Open
The deal's only customer-facing commitment is a pledge to preserve an "open-by-design approach across vendors and hardware." No written terms on pricing, product roadmaps or contract protections came with it.
That matters, because part of PTC's value came from its neutrality. Rival Siemens sells its design software alongside its own automation hardware. PTC supplied software to both worlds.
The same day, Schneider was also pursuing Bulgarian smart-home equipment maker Shelly Group at €70 a share, or €1.27 billion in total.
