Schneider to Buy PTC in $22.6B Cash Deal; PTC Jumps Premarket
France's Schneider Electric is buying U.S. industrial software maker PTC for $205 a share in cash. The deal values PTC's equity at $22.6B, or $23.7B including debt.
The offer is a 42.3% premium to PTC's Friday close. Talks were reported at about $20B on Sunday; the signed price came in higher. Closing is expected in the third quarter of 2027.
Schneider agreed in June to buy Cognite, an AI and industrial data company. With PTC, it builds a software chain running from product design to the factory floor.
PTC is up 36% in premarket trading. That leaves the stock about 5% below the offer price, a discount for the approval timeline.
The buyer is falling. Schneider shares dropped 4.7% in early European trading. The company targets €250M in cost synergies and about €800M in revenue synergies.
The market did not read this as a single-company story.
It read it as a price tag. Autodesk rose 4% premarket as investors reprice design and manufacturing software.
